Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and ClearSite ("Company," "we," "us," or "our") governing your use of our website and engagement of our website design and management services. By accessing our website or signing a service agreement, you agree to be bound by these Terms.
Services
ClearSite provides done-for-you website design, development, hosting, and ongoing management services for local service businesses. Services may include custom website design, performance optimization, security monitoring, content updates, SEO foundation, analytics, lead capture forms, and related support as described in your selected service plan.
Billing Structure
All ClearSite service plans include two components:
- One-time website build fee: A standard one-time fee of $1,200 for the initial design and development of your website. This fee is due upon project commencement unless otherwise agreed in writing.
- Monthly management subscription: A recurring monthly fee based on your selected plan (Care, Growth, or Lead Engine) that covers hosting, maintenance, updates, and ongoing support.
All fees are quoted in U.S. dollars. Payment is due according to the billing schedule specified in your service agreement. Late payments may result in suspension of services until the account is brought current.
Term Commitment
The monthly management subscription requires a 12-month minimum term from the date of your website launch. During this term, you agree to maintain your subscription and pay all applicable monthly fees. Early termination before the end of the minimum term may result in payment of remaining monthly fees or an early termination fee as specified in your service agreement.
After the initial 12-month term, your subscription continues on a month-to-month basis unless either party provides written notice of cancellation in accordance with your service agreement.
Asset Ownership
Domain name: You retain full ownership of your domain name at all times. ClearSite will assist with domain configuration and DNS management as part of our services but does not claim ownership of your domain.
Website and codebase: ClearSite manages the hosting environment and codebase for your website as part of our managed service. Upon termination of services and fulfillment of all payment obligations, we will provide reasonable assistance in transferring your website assets in accordance with your service agreement.
Content: You retain ownership of all business content, logos, images, and copy you provide. You grant ClearSite a license to use this content solely for the purpose of delivering our services.
Client Responsibilities
You agree to:
- Provide accurate business information and timely feedback during the build process
- Grant necessary access to domain registrar and third-party accounts when required
- Review and approve website content and design deliverables within reasonable timeframes
- Ensure all content you provide does not infringe on third-party intellectual property rights
- Maintain current payment information and pay all fees when due
Service Level and Availability
ClearSite strives to maintain high availability for hosted websites. Specific uptime commitments vary by plan and are detailed in your service agreement. We are not liable for downtime caused by factors outside our reasonable control, including third-party service outages, DNS propagation, or force majeure events.
Limitation of Liability
To the maximum extent permitted by law, ClearSite shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to ClearSite in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless ClearSite from any claims, damages, or expenses arising from your content, your use of our services, or your violation of these Terms.
Modifications to Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the revised Terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Michigan and the State of Illinois, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in Michigan or Illinois.
